Ive been contemplating purchasing the 5th edition books from this site but now i have some concern. If this company goes out of business and shuts down its servers, will I be left empty handed? Am I actually purchasing a copy of the content for personal, or just the access to the content?
Technically, you are just purchasing access to the content. DDB will do everything they can to do right by their customers in the event something goes wrong business wise.
Worse case scenario, you can install the app which will give you offline access to the books.

Seems a bit pricey for a lot of gray area. If its just access then why the price? I get they have to play licensing fees (but do they, really? Purely speculation)(if its a partnership they may not be) but shouldnt it be way less for no personal copy of the materials? I feel like a pdf copy would justify the cost but i dont think WoTc are down with there being pdfs... anyways a lot of gray area.

Will you lose access to the books if DDB goes down? Yes. Is that likely? No. DDB itself isn't going to just 'go down' because their partnership with WotC on the biggest TTPRG is valuable. Even if the site was losing money, their parent company would want to keep that partnership for as long as possible.
If DDB was making money, but one of the parent companies (Curse or Fandom) wasn't, they'd likely sell DDB off to another company so that company could make money. DDB would keep on keeping on. Like, the only thing that could really bring DDB down is if WotC tanked (or we lost all the internet) but in either case, there are bigger problems.
It's honestly not a likely proposition and I wouldn't be surprised if 6th edition comes out before DDB goes away.

I would actually be more concerned with legal issue with other companies for some reason or another.
DDB has stated that (from their communications with WotC) 6th edition is not a near future concern and they would "cross that bridge when it get here." Likely, they will support both editions.

All just personal opinion, but whatever...

Any prospect of 6th?
I should have specified that it was very unlikely for DDB to go down for many years. Davedamon pretty much covered that.
As for why DDB is not cheaper, I encourage you to watch this video: https://youtu.be/bu9ZIFjJIX4
