You would answer the ad you'd met with Dr. Winslow in the history department over a dozen times to discuss the project. This however was your first week of training. Dr. Winslow had said you and five others were selected out of hundreds of applicants. The project, as outlandish as it seemed, made more sense as the time passed. Dr. Winslow, an academic legend or charlatan depending of who you spoke too, you found to be a passionate, hard working, and wholly eccentric man with a talent for persuasion. Although advanced in his years he seemed to out match some of the student athletes on campus and no one in his department or the campus could match his devotion to the exploration of time's tenants and meaning.
Today was the day you'd meet the others in the group. You were feeling a range of emotions as you walked into a small annex building just off your urban campus' beaten path. The building was simple in its design and constructed mostly of brick. Going inside you found reception and were then directed to Dr. Winslow's labs down a long corridor. Opening the door to find a large white walled room lined with chairs on one side and a row of filing cabinets on the other. The room was lit with overhead artificial lights washing out all inside. Inside (first poster no-one. Everyone after one additional person to your PC).

A tall man with deep red hair makes his way into the room, looking around curiously as no one seems to be present. He stands in the middle for a moment, apparently uncertain with what to do with himself. He reaches up and scratches at his chin absentmindedly where his "beard" is growing in.
"Hello? Is anyone here?"
Waiting for a moment and not hearing an immediate response, he makes a circle around the room, looking over the filing cabinets without touching them. Inspecting for any kind of labels or hints as to what might be inside them before going and sitting in the farthest chair from the door. He sets his bag down on the ground to his left, opposite the door, subconciously guarding it from anyone else that might enter the room.

he then hops into the nearest seat, and goes about fixing bits of his outfit and ties his shoes.
At last the door opens again as Dr. Winslow's assistant, a PhD candidate named Holly Birdsong, comes into the room with a clip board. She's a tall athletic woman with white blonde hair, fair skin, and gray eyes that seem fairly critical of all of you.
"Well, all seem to be here," Holly muses aloud. "These are your NDAs that we've discussed and I need signatures before training begins. I see some are prepared for a days work while others..." she trails off smirking at Milas, "are not," she sighs before she clears her throat. The parties agree to enter into a confidential relationship concerning the disclosure of certain proprietary and confidential information ("Confidential Information"). 1. Definition of Confidential Information. For purposes of this Agreement, "Confidential Information" shall include all information or material that has or could have commercial value or other utility in the business in which Disclosing Party is engaged. Obligations of Receiving Party. Receiving Party shall hold and maintain the Confidential Information in strictest confidence for the sole and exclusive benefit of the Disclosing Party. Receiving Party shall carefully restrict access to Confidential Information to employees, contractors and third parties as is reasonably required and shall require those persons to sign nondisclosure restrictions at least as protective as those in this Agreement. Receiving Party shall not, without the prior written approval of Disclosing Party, use for Receiving Party's benefit, publish, copy, or otherwise disclose to others, or permit the use by others for their benefit or to the detriment of Disclosing Party, any Confidential Information. Receiving Party shall return to Disclosing Party any and all records, notes, and other written, printed, or tangible materials in its possession pertaining to Confidential Information immediately if Disclosing Party requests it in writing. 4. Time Periods. The nondisclosure provisions of this Agreement shall survive the termination of this Agreement and Receiving Party's duty to hold Confidential Information in confidence shall remain in effect until the Confidential Information no longer qualifies as a trade secret or until Disclosing Party sends Receiving Party written notice releasing Receiving Party from this Agreement, whichever occurs first.
5. Relationships. Nothing contained in this Agreement shall be deemed to constitute either party a partner, joint venture or employee of the other party for any purpose. 6. Severability. If a court finds any provision of this Agreement invalid or unenforceable, the remainder of this Agreement shall be interpreted so as best to affect the intent of the parties. 7. Integration. This Agreement expresses the complete understanding of the parties with respect to the subject matter and supersedes all prior proposals, agreements, representations, and understandings. This Agreement may not be amended except in writing signed by both parties. 8. Waiver. The failure to exercise any right provided in this Agreement shall not be a waiver of prior or subsequent rights. 9. Notice of Immunity. Employee is provided notice that an individual shall not be held criminally or civilly liable under any federal or state trade secret law for the disclosure of a trade secret that is made (i) in confidence to a federal, state, or local government official, either directly or indirectly, or to an attorney; and (ii) solely for the purpose of reporting or investigating a suspected violation of law; or is made in a complaint or other document filed in a lawsuit or other proceeding, if such filing is made under seal. An individual who files a lawsuit for retaliation by an employer for reporting a suspected violation of law may disclose the trade secret to the attorney of the individual and use the trade secret information in the court proceeding, if the individual (i) files any document containing the trade secret under seal; and (ii) does not disclose the trade secret, except pursuant to court order.
This Agreement and each party's obligations shall be binding on the representatives, assigns and successors of such party. Each party has signed this Agreement through its authorized representative.

Holly collects Hunter and Milas' contracts she waits for the others with a set jaw and hard expression.

OOC: I'd say Milas would have disadvantage because she's already singled him out for criticism as well as his familiarity.
Holly nods to Terrance collecting his contracts.
"They'll be a trial to make sure you can physically and mentally make the journey. It's a bit VR simulations as well as real life consequence scenarios. You've been told as such by Dr. Winslow," Holly replies curtly.

Will has a seat at a desk, and pores over the document, cross referencing and rereading before raising a spindly hand with a smile after ten or fifteen minutes.
"Don't mean to be a pest about it, but had a few questions before I sign, just to make sure that we're all in agreement here. First, how soon after oral disclosure is considered prompt with regard to written confirmation of Confidential Information? I wouldn't want to think something is NOT Confidential, only to get a letter two weeks later that says 'Hey, remember that thing? Don't talk about it." Second, how do we establish priority of when something was disclosed to us if it happened prior to, or independently from? It says if we learn something prior to disclosure, either on our own or from legitimate other sources, then we aren't held to the Confidential part, but do we have to establish in some way that we learned it first? Not that I'm looking for ways to get around it, like I said, just wanting to know the procedure. Third, will we be provided with form letters for signing third parties to NDAs, or are we expected to write them up on the spot? Seems it would take legal training to write one... ah let's see... "at least as protective"... though I suppose we could just get them to sign one that says they won't say anything to anyone ever... that would qualify as 'at least as protective. Lastly, Item 9 refers to 'employee', but Item 5 establishes that there are no employees, am I misunderstanding, or is this an oversight?"

"Moving forward from what you know now is considered proprietary and academic knowledge owned by doctor Winslow and myself as well as the university that is funding the study. You are not employees but participates. If you feel you need legal help before signing I suggest you leave now because it's a right now or leave now situation," Holly explains arms crossing over her chest. "I'm not here to hold your hands. I'm fairly sure you are all relatively intelligent people. This is dangerous. This is unproven science. You all have already verbally agreed to join this study. If you need any more exclamation than that I suggest you leave now," she finishes.

Will grits his teeth a Holly's attitude, his fingers twitching before he presses them flat against the desk, a rehearsed easy smile on his face.
"Of course, of course... how silly of me to try to take time to consider a document like this seriously. I'm certain you wouldn't have slipped anything into the contract in bad faith, you've got such a shining reputation around campus as a pillar of scientific ethics and integrity."
He pulls out a pen, dashes a scribble across the bottom and slide it towards her.
"Hey Hunter, I'm Will." the handshake sets a new low for limp dead fish handshakes. It's impressive he could even grip his pen to sign. At least Will's palm is dry, so it's not a wet clammy shake.

Second, how do we establish priority of when something was disclosed to us if it happened prior to, or independently from?

Holly sighs loudly.
“But no living man am I! You look upon a woman...You stand between me and my lord and kin. Begone, if you be not deathless! For living or dark undead, I will smite you, if you touch him.” ― J.R.R. Tolkien, The Return of the King
Hunter stares at the slightly built guy who just finished asking questions about the NDA.
"Dude." Pauses. "Dude."
Walks over and pats him his back. And turns and faces Holly.
"Yeah. What dude said."
He looks back and holds out his hand.
"I'm Hunter. Didn't get your name."
(OOC Sorry - Holly's reply wasn't showing up for me until after I posted)
